Restoration of Trading on AIM

Sareum (AIM: SAR), the specialist cancer drug discovery business, is pleased to announce that trading in the Company’s shares on AIM will be restored at 7.30am today.

On 9 July 2008, the Company announced that it had requested a suspension of trading of its shares on AIM, in light of uncertainty over it having sufficient cash resources to continue trading in its then current form.

On 26 August 2008, the Company announced that it had disposed of substantially all of its equipment assets but retained the intellectual property of its cancer drug discovery programmes. The Company’s shares remained suspended at that time pending clarification of its financial and business strategy.

On 27 November 2008, the Company announced its preliminary results for the year ended 30 June 2008. In the Chairman’s statement that accompanied those results, the Company confirmed that upon receipt of the R&D tax credit relating to the year ended 30 June 2008 the Company would have the necessary resources to fund the business and its research plan for at least the next 12 months. Following the announcement of those results, the Company’s shares remained suspended pending the receipt of the R&D tax credit and the finalisation of the Company’s longer term financial strategy.

The Company is pleased to announce that it has received the R&D tax credit of approximately £325,000 in full and its longer term strategy will be the development of its in-house cancer drug discovery programme using an outsourced research model. The Company will actively concentrate on the three most advanced research programmes out of its six cancer research programmes and aims to commercialise at least one drug discovery programme by the end of 2009.

In view of these developments, the Company has applied for the suspension of trading on AIM in its shares to be lifted with effect from 7.30am today.

 RESULTS FOR THE YEAR ENDED 30 JUNE 2008

Sareum (AIM: SAR), the specialist cancer drug discovery business, is pleased to announce its results for the year ended 30 June 2008.

 ·         Financial highlights:

–         Revenues from activities (discontinued post year end): £1.5 million (2007: £2.5 million)

–         Loss on ordinary activities for period (after taxation): £1.7 million (2007: £0.53 million)

–         Cash in bank at period end: £0.48 million (2007: £0.66 million)

 ·         Business highlights:

–        Commenced three additional in-house cancer drug discovery programmes

–        Five patent applications filed

–        Initiated a strategic review  of the business, culminating (post year end) to a focus on drug discovery and development

 ·         Post year end highlights:

–        Completed the sale of the service business and other assets, for £0.52 million cash after lease termination payments.

–        Proceeds from asset disposal, plus R&D tax credit claim, expected to provide at least 12 months working capital.

–        Three further patent applications filed

Dr Paul Harper, Chairman of Sareum, said: “During the period under review Sareum undertook a strategic review of the business which resulted in the sale of its service business and associated assets in August 2008.  In parallel with this review, the Company made major cost savings largely through staff reductions. This was necessary due to difficult trading conditions arising from the current economic climate, as reflected in our financial results.  

The Company now has an exciting opportunity to concentrate solely on the development and licensing of cancer drug candidates from a strong pipeline of established in-house programmes, which are the key value driver for the Company.  The Company is actively continuing three out of six of its cancer research programmes with a view to generating sufficient data to initiate licensing discussions with third parties.  It is our aim to be finalising at least one such deal by the end of the next financial period.”

Resignation of Director

Update on Strategic Review

Sareum Holdings plc (AIM: SAR), the specialist structure-based drug discovery business, announced on 26 August that it had disposed of substantially all of its equipment assets, for a total consideration of £720,000, and that it was retaining the intellectual property of its cancer drug discovery programmes which it planned to further develop using the proceeds of the asset disposal.

In order to develop these programmes in the most cost effective manner, the Board considered it necessary to reduce its fixed cost base as much as possible, and contract out future research to third party suppliers. As such, the Company has implemented a further redundancy programme, which includes all remaining laboratory staff. This redundancy programme will be completed on 31 August. In addition to these staff redundancies, Dr David Williams has today stepped down as a Director of the Company.

The Company's shares will remain suspended while it finalises its financial and business strategy. Further announcements are expected to follow in due course.

Disposal of Assets

Further to recent announcements regarding its future, Sareum Holdings plc (AIM: SAR), the specialist structure-based drug discovery business, is pleased to announce the successful disposal of substantially all of the equipment assets of Sareum Limited, its  wholly owned subsidiary, including its Crystal Bank and fragment screening library, for cash considerations totalling £720,000. The Directors of the Company believe that the disposal is in the best interests of the Company and the shareholders as a whole.

The most substantial agreement is with Galapagos NV for sale of the structure-based drug discovery service business for a cash consideration of £553,000. Under the terms of this agreement, Galapagos NV has acquired equipment assets and Sareum's ongoing service contracts. A team of five Sareum employees will also be joining Galapagos’ service division BioFocus DPI. The text of Galapagos NV's press release, also issued today, is appended below.

For the year ended 30 June 2007 the loss before taxation attributed to Sareum Limited was £605,938 and the value of the equipment assets at 31 December 2007 was approximately £588,000. Of this amount approximately £377,000 related to assets that were subject to lease agreements. Of the total consideration of £720,000, approximately £203,000 has been used to terminate these agreements.

The directors believe that if this disposal had not been completed, Sareum Limited would have been unable to meet its financial commitments as they fell due and consequently would have been unable to continue trading resulting in the appointment of liquidators or administrators.

The Company has retained the intellectual property of its cancer drug discovery programmes which it plans to develop using the proceeds of the disposal. The Company's shares will remain suspended while it completes its re-organisation and finalises its financial and business strategy. Further announcements are expected to follow shortly.

Galapagos acquires structure-based drug discovery from Sareum

Mechelen, Belgium and Cambridge, UK; 26 August 2008 – Galapagos NV (Euronext: GLPG) and Sareum Holdings plc (AIM: SAR) announce today that Galapagos has acquired Sareum’s assets in drug discovery services, for a total cash consideration of €695,000 (£553,000).  These assets will position Galapagos’ service division BioFocus DPI strongly in the growing field of structure-based drug discovery.

A key step in drug discovery research is the identification of small molecules that bind to a drug target.  In structure-based drug design, the three-dimensional structure of a drug target is used to guide the discovery of such small molecules.  It is a rapidly growing segment of the drug discovery market, having generated molecules for approved drugs and numerous candidate drugs in clinical development.  Sareum’s structure-based approach specifically makes use of x-ray crystallography to discover chemical fragments for recombination into lead compounds.  This approach has proven to accelerate drug discovery in many programs, both in its internal R&D and in services contracts with top pharma clients.

Under the agreement, Galapagos has acquired all of Sareum’s ongoing services contracts relating to structure-based drug discovery, the Crystal Bank (a set of protein target structures), a fragment screening library and the specialized equipment needed to perform structure-based drug discovery.  This technology fits very well and will be incorporated within BioFocus DPI’s capabilities in screening and medicinal chemistry, and will complement its services offering.  A team of five Sareum employees will join BioFocus DPI (Chesterford Park, Saffron Walden, UK) and continue to operate the platform, securing a smooth transition of the business.

Suspension of trading of Sareum shares on AIM

On 19 June 2008, the Company announced that the board of Sareum ("the Board") believed that the Company needed to undertake a strategic transaction and that should the Board decide within a short timescale that a strategic transaction is not achievable, the Board would take a decision as to the future of the Company in its present form, as the Company would not be able to continue operations without a significant fundraising.

Since 19 June, the Board has continued to progress discussions with a number of parties, including in respect of a possible reverse transaction, but at this time does not consider that it will be able to conclude a strategic transaction for several months.  Further, in the current difficult financial markets, the Board does not consider that it will be possible to achieve a significant fundraising to enable the Company to continue operations in its present form although the Board may still need to secure interim funding to enable it to complete a strategic transaction.
